Terms & Conditions of Sale

1. Scope
These Terms and Conditions ("Terms") apply to all quotes, orders and deliveries of Direct Order Global Electronics LLC, 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, USA ("Seller", "we"). Deviating terms of the customer apply only if we have confirmed them in writing.
2. Quotes and conclusion of contract
Our quotes are non-binding unless expressly marked as binding. A contract is concluded when we confirm your order in writing (order confirmation or invoice) or when we ship the goods. Product information on this website is a description, not a binding offer.
3. Prices and payment
Prices are stated in the currency shown in the quote and, unless stated otherwise, exclude shipping, insurance, import duties, VAT/sales tax and other charges of the destination country. Unless agreed otherwise, payment is due in full before shipment. Accepted payment methods are stated in the quote. Goods remain our property until full payment has been received.
4. Delivery
Delivery times stated in quotes are estimates based on manufacturer and carrier availability. Unless agreed otherwise, delivery is made in accordance with the Incoterm stated in the quote; risk passes to the customer upon handover to the carrier. Partial deliveries are permitted where reasonable for the customer. The customer is responsible for the import of the goods into the destination country, including any licences, duties and taxes, unless we have expressly agreed otherwise.
5. Export control and compliance
Our deliveries are subject to US and international export-control and sanctions regulations. The customer confirms that the goods will not be supplied, directly or indirectly, to sanctioned persons, entities or countries, and agrees to provide end-use and end-user information on request. We may cancel an order without liability if its execution would breach applicable regulations.
6. Inspection and defects
The customer shall inspect the goods promptly upon receipt and report visible damage or shortages within 5 business days, and hidden defects promptly after discovery. Manufacturer warranties apply as stated by the manufacturer; for refurbished or used equipment the warranty terms stated in the quote apply. In case of a defect we will, at our option, repair, replace or credit the affected goods. Further claims are excluded to the extent permitted by law.
7. Specialised computing equipment
Specialised computing equipment is sold as equipment only. Operating results depend on factors outside our control and are neither guaranteed nor represented by us. Performance and power figures are manufacturer specifications with the usual tolerances.
8. Limitation of liability
To the maximum extent permitted by law, our liability is limited to the value of the affected order. We are not liable for indirect or consequential loss, loss of profit, loss of data or business interruption. Nothing in these Terms limits liability for wilful misconduct, gross negligence or where such limitation is not permitted by law.
9. Cancellation and returns
Orders for goods procured specifically for the customer cannot be cancelled after we have placed the corresponding purchase order with the supplier. Returns of non-defective goods require our prior written consent and may be subject to a restocking fee. Statutory rights of consumers remain unaffected. Details: Shipping & Returns.
10. Governing law and jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Sheridan County, Wyoming, have exclusive jurisdiction, unless mandatory consumer-protection law provides otherwise.
11. Miscellaneous
Should any provision of these Terms be invalid, the remaining provisions remain unaffected. Amendments must be made in writing. Contact: info@directorderglobal.com.
